1. Acceptance of Terms

By accessing or using ComplyHQ ("the Platform"), operated by Adaptels Pte. Ltd. (UEN: 202105417C) ("Adaptels", "we", "us", "our") at complyhq.app, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you ("User", "you", "your") and Adaptels Pte. Ltd.

2. Description of Service

ComplyHQ is an AI-powered compliance assistant that provides gap assessments, policy generation, data inventory management, AI compliance chat, and related tools designed to help Singapore SMEs understand and work towards meeting their obligations under the Personal Data Protection Act 2012 ("PDPA") and related regulations.

3. Important Disclaimer — Not Legal or Regulatory Advice

ComplyHQ does not provide legal, regulatory, or professional compliance advice. All content generated by the Platform — including assessments, policies, action items, data inventories, chat responses, and any other AI-generated outputs — is provided for general informational and guidance purposes only.

AI-generated content may be incomplete, inaccurate, or outdated. You must independently verify all outputs with a qualified legal or data-protection professional before relying on them for compliance decisions, regulatory filings, or business actions.

Adaptels Pte. Ltd. is not liable for any regulatory action, fines, penalties, losses, or damages arising from reliance on AI-generated compliance suggestions or any other Platform outputs without independent professional verification.

4. Account Registration

To use certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised use.

5. Subscription and Payments

ComplyHQ offers Free, Starter, and Pro subscription tiers. Paid subscriptions are billed monthly through Stripe. By subscribing, you authorise recurring charges until you cancel.

  • You may upgrade, downgrade, or cancel at any time from your account settings.
  • Downgrades take effect at the end of the current billing cycle.
  • Refunds are not provided for partial billing periods unless required by applicable law.
  • PSG Grant eligibility and reimbursement are subject to government terms and are not guaranteed by Adaptels.

6. Acceptable Use

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law
  • Attempt to gain unauthorised access to the Platform or its infrastructure
  • Reverse engineer, decompile, or disassemble any part of the Platform
  • Upload malicious content, exploit vulnerabilities, or interfere with other users
  • Resell, sublicense, or redistribute Platform outputs without our written consent
  • Use automated means (bots, scrapers) to access the Platform without our written permission

7. Intellectual Property

The Platform, including its design, code, AI models, prompts, and content, is the intellectual property of Adaptels Pte. Ltd. You retain ownership of any data you input into the Platform. Policies and documents generated by the Platform may be used by you for your business purposes, but the underlying templates, AI models, and Platform technology remain our property.

8. Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with the PDPA. By using the Platform, you consent to our data practices as described therein.

9. Limitation of Liability

To the maximum extent permitted by Singapore law, Adaptels Pte. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to damages arising from reliance on AI-generated content or compliance guidance. Our total aggregate liability for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Adaptels Pte. Ltd., its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of or reliance on the Platform or its outputs
  • Your violation of these Terms
  • Your violation of any applicable law or regulation, including the PDPA
  • Any claim by a third party arising from your use of AI-generated policies, assessments, or guidance provided by the Platform
  • Any data breach or security incident resulting from your failure to implement adequate measures beyond Platform recommendations

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability. We will provide reasonable notice for planned downtime where possible.

12. Termination

We may suspend or terminate your account if you breach these Terms. Upon termination, you retain read-only access to your data on the Free tier for 90 days, after which it may be deleted. You may request data export before deletion.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.

14. Disclaimer of Warranties

The Platform and all content, outputs, and services provided through it are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by Singapore law, Adaptels Pte. Ltd. expressly disclaims all implied warranties, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, accuracy, completeness, and any warranties arising from course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that: (a) the Platform will meet your requirements or achieve any particular compliance outcome; (b) the Platform will be uninterrupted, timely, secure, or error-free; (c) any outputs, including AI-generated assessments, policies, or guidance, will be accurate, complete, current, or reliable; or (d) any errors or defects will be corrected. Any material obtained through the Platform is used at your own discretion and risk.

15. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any order or subscription documentation, constitute the entire agreement between you and Adaptels Pte. Ltd. regarding the Platform and supersede all prior or contemporaneous agreements, communications, and understandings on that subject.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.

No Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing to be effective.

Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganisation, or sale of all or substantially all of our assets.

Force Majeure. We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, strikes, or failures of third-party hosting, telecommunications, or utility services.

Authority to Bind. If you use the Platform on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

Third-Party Rights. Except as expressly provided, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 of Singapore to enforce any provision of these Terms.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform. You will be required to re-accept the updated Terms before continuing to use the Platform. Continued use after acceptance constitutes your agreement to the updated Terms.
