1. Acceptance of Terms

By accessing or using ComplyHQ ("the Platform") operated at complyhq.app, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform. These Terms constitute a legally binding agreement between you and ComplyHQ.

2. Description of Service

ComplyHQ is an AI-powered PDPA compliance platform that provides gap assessments, policy generation, data inventory management, AI compliance guidance, and related tools designed to help Singapore SMEs understand and meet their obligations under the Personal Data Protection Act 2012 ("PDPA").

3. Important Disclaimer — Not Legal Advice

ComplyHQ does not provide legal advice. The Platform's assessments, generated policies, and AI guidance are informational tools designed to assist with PDPA compliance. They do not constitute legal advice and should not be relied upon as a substitute for professional legal counsel.

We strongly recommend consulting a qualified data protection professional or legal advisor for matters requiring legal interpretation or enforcement guidance. ComplyHQ shall not be liable for any regulatory action, fines, or penalties arising from reliance on the Platform's outputs without independent legal verification.

4. Account Registration

To use certain features, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised use.

5. Subscription and Payments

ComplyHQ offers Free, Starter, and Pro subscription tiers. Paid subscriptions are billed monthly through Stripe. By subscribing, you authorise recurring charges until you cancel.

You may upgrade, downgrade, or cancel at any time from your account settings.
Downgrades take effect at the end of the current billing cycle.
Refunds are not provided for partial billing periods unless required by applicable law.
PSG Grant eligibility and reimbursement are subject to government terms and are not guaranteed by ComplyHQ.

6. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose or in violation of any applicable law
Attempt to gain unauthorised access to the Platform or its infrastructure
Reverse engineer, decompile, or disassemble any part of the Platform
Upload malicious content, exploit vulnerabilities, or interfere with other users
Resell, sublicense, or redistribute Platform outputs without our written consent

7. Intellectual Property

The Platform, including its design, code, AI models, and content, is the intellectual property of ComplyHQ. You retain ownership of any data you input into the Platform. Policies and documents generated by the Platform may be used by you for your business purposes, but the underlying templates and AI models remain our property.

8. Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data. By using the Platform, you consent to our data practices as described therein.

9. Limitation of Liability

To the maximum extent permitted by Singapore law, ComplyHQ shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability for any claim shall not exceed the amount you paid us in the twelve months preceding the claim.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect service availability. We will provide reasonable notice for planned downtime where possible.

11. Termination

We may suspend or terminate your account if you breach these Terms. Upon termination, you retain read-only access to your data on the Free tier for 90 days, after which it may be deleted. You may request data export before deletion.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Singapore. Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on the Platform. Continued use after changes take effect constitutes acceptance of the updated Terms.
